In situations where employees do not wish to contact the designated contact person within the Depenbrock Group for difficulties or problems, starting from July 8, 2022, there is an alternative to contact a confidential attorney. Topics for which the confidential attorney can serve as a contact person include:

  • Theft, fraud
  • Discrimination
  • Misconduct
  • Corruption
  • Bullying
  • Sexual harassment
  • Violations of occupational safety guidelines, data protection requirements, quality assurance guidelines, or environmental protection requirements
  • Disclosure of confidential information
  • Law as of January 1, 2024 on corporate due diligence obligations to prevent human rights violations in supply chains (LkSG)

Confidential Attorney of the Depenbrock Group

A confidential attorney is an independent trusted person to whom employees and third parties can turn if they want to report irregularities within the company. The confidential attorney for the Depenbrock Group is Mr. Dr. Carsten Thiel von Herff. Mr. Thiel von Herff is an impartial lawyer and has extensive experience as a confidential attorney for various well-known companies, including the German Football League, Allianz, and Miele.

Procedure for Reporting

Once a report is received by the confidential attorney, they will assess the plausibility of the report. If there is suspicion of a violation of criminal laws or a breach of internal rules of conduct, such as the code of conduct of the Depenbrock Group, the confidential attorney will, in consultation with the reporting party, forward the report, possibly anonymized, to the Depenbrock Group. The confidential attorney accompanies the process while the Depenbrock Group initiates an investigation into the reported matter. The legal assessment of the investigated matter and the determination of appropriate measures to rectify and prevent incorrect business practices are done in collaboration with the confidential attorney. The reporting party will be informed about the outcome of the process within the legally permissible framework, at the latest upon completion of the process. Additionally, the reporting party can inquire about the status of the process at any time.

Anonymity and Protection of the Reporting Party

The anonymity of the reporting party is guaranteed at all times, if desired. Therefore, it is generally possible for reports to be forwarded anonymously to the Depenbrock Group through the confidential attorney. All communication will then take place through the confidential attorney, who is bound by attorney-client privilege. The protection of the reporting party is an essential part of handling the concerns. Retaliation against the reporting party is not tolerated under any circumstances. The desire of the reporting party to protect their identity conflicts with the interest of the individuals affected by the report in the disclosure of the facts. Therefore, deliberate misuse of the opportunity to submit complaints and reports is not tolerated. In case of intentional misuse of the reporting party system, the confidential attorney may exceptionally disclose the identity of the reporting party to the company.

Additions

  1. The confidential attorney provides an additional option for submitting reports. Their role does not affect the other regulations regarding complaints and reports.
  2. The use of the confidential attorney is free of charge for the reporting party.
